1. Introduction
Endeavor Heating and Cooling LLC operates with a commitment to honesty, professionalism, and doing right by our customers. We believe in fair practices, realistic expectations, and clear communication. If at any point during your project, service, or installation you have concerns, frustrations, or questions, we encourage you to contact us directly so we can work toward a prompt and respectful resolution. Our goal is always to ensure the best possible outcome for your system, home, and peace of mind.
By signing this agreement, you acknowledge and accept the services, pricing, and terms outlined by Endeavor Heating and Cooling LLC, a registered Limited Liability Company in the State of Washington.
2. Contractual Agreement
By signing or approving an estimate, invoice, or service authorization, the Customer (“Client,” “you,” or “your”) agrees to these Terms and Conditions (“Agreement”) with Endeavor Heating and Cooling LLC (“Endeavor,” “we,” “our,” or “us”). These Terms govern all services, installations, and materials provided by Endeavor.
3. Proposal Validity
Proposals remain valid for thirty (30) days unless otherwise stated. Endeavor may revise or withdraw any proposal prior to acceptance.
4. Scope of Work
Work will conform to the signed estimate or proposal. Any additions, deletions, or modifications must be approved in writing and may affect cost or scheduling.
5. Unforeseen Conditions
If concealed or unexpected conditions affect project feasibility or cost, Endeavor will issue a written change order for Customer approval before proceeding.
6. Cancellation Policy
Service Appointments: Cancellations within twenty-four (24) hours of the scheduled appointment are subject to a $75 fee. The first cancellation within that window may be waived as a courtesy.
Installations: Cancellations after materials are ordered incur a 20% fee of total job value. Deposits become non-refundable once materials are ordered. Supplier restocking fees (up to 25%) may apply.
7. Membership Refunds
Maintenance-plan cancellations receive prorated refunds less a 30% processing fee. Unused service credits are non-refundable but may be applied to other services within 90 days.
8. Licensing and Compliance
Endeavor Heating and Cooling LLC operates under the Washington Contractor Registration Act (RCW 18.27) and maintains all required bonding and insurance. All work conforms to applicable building and mechanical codes.
9. Limitation of Liability
- Pre-existing defects or code violations
- Customer negligence or third-party damage
- Indirect, incidental, or consequential losses including property damage or loss of comfort
Our total liability is limited to correction of workmanship within warranty terms and shall not exceed the value of the contracted work.
10. Payment Terms
Payment is due upon completion unless otherwise agreed in writing.
Installations: 50% deposit due at acceptance; remaining balance due upon mechanical completion (equipment installed, powered, tested, and operational).
Balances past 30 days accrue 12% annual interest (1% monthly). Accounts > 90 days may be sent to collections; Customer is responsible for collection and legal costs.
Chargebacks: Initiating a chargeback without written dispute constitutes breach of contract. Endeavor reserves the right to dispute such claims and recover related fees.
11. Customer Responsibilities
Customer shall provide safe, clear access to work areas; ensure utilities and electrical power are available; disclose hazards; keep pets and children away; and provide required access or permits. Failure to do so may delay service or void warranty coverage.
12. Force Majeure
Endeavor is not liable for delays caused by events beyond its control, including natural disasters, strikes, pandemics, or governmental restrictions.
13. Professional Standards
All work is performed per manufacturer specifications, ACCA/ASHRAE standards, and local code.
14. Governing Law
This Agreement is governed by the laws of the State of Washington. Venue for all disputes is Snohomish County, WA.
15. Terms Modification
Endeavor may amend these Terms from time to time. The most recent version governs all future work upon issuance.
16. Warranty Policy
16.1 Service Repairs
Maintenance Members: 1‑Year Labor Warranty (labor only).
Non‑Members: 90‑Day Labor Warranty (parts and labor).
Parts: Manufacturer warranties apply. Parts not covered by manufacturer warranty are the Customer’s responsibility.
16.2 Installations – Standard Warranty
Qualifying full-system installations include:
- 10‑Year Manufacturer Parts Warranty (with registration)
- 1‑Year Labor Warranty by Endeavor on manufacturer‑warranted repairs
16.3 Extended Labor Warranty – JB Warranties
For eligible installations, Endeavor offers an optional 10‑Year Extended Labor Warranty administered by JB Warranties.
- The JB plan must be purchased and registered at installation or within JB’s eligibility window (≤ 24 months from startup).
- Coverage begins 91 days after startup or registration unless otherwise specified.
- Claims must comply with JB Warranties Terms & Conditions, including maintenance and documentation requirements.
- Coverage applies only to labor; parts remain under manufacturer or optional JB parts coverage.
- Failure to register or maintain service voids extended coverage; Endeavor’s 1‑year labor warranty then applies.
- JB plans are transferable at no cost under JB’s procedures.
- Endeavor acts as installer and facilitator; claim approval/payment are governed solely by JB Warranties. Full terms: jbwarranties.com/terms.
16.4 Maintenance Requirement
To maintain any labor warranty (Endeavor or JB):
- System must receive annual maintenance by Endeavor or another licensed HVAC contractor.
- Maintenance must occur once per calendar year and be documented (date, contractor, service details).
- Records must be provided upon request to Endeavor and/or JB.
Failure to maintain or document service voids labor coverage after the first year. (Complies with RCW 19.118 and RCW 18.27.114.)
16.5 Exclusions
Warranty coverage does not apply to:
- Negligence, misuse, or lack of maintenance
- Acts of God, electrical surges, flooding, rodents, corrosion
- Damage to finishes from necessary access
- Unlicensed repairs or unauthorized modifications
16.6 Transferability
JB plans are transferable per JB terms. Endeavor’s in‑house 1‑year labor warranty is non‑transferable unless approved in writing.
16.7 Legal Disclaimer
All warranties are governed by Washington State law and the Consumer Protection Act (RCW 19.86). If any conflict exists between Endeavor’s policy and a third‑party plan, the third‑party plan controls.
17. Pre-Existing Conditions and Third-Party Work
Endeavor is not liable for failures caused by prior defective work, unlicensed contractors, or customer‑supplied materials.
18. Dispute Resolution
Disputes shall first undergo mediation. If unresolved, binding arbitration under RCW 7.04A applies. Venue: Snohomish County, WA. Each party bears its own costs unless otherwise awarded.
19. Insurance and Bonding
Endeavor maintains all required licensing, bonding, and insurance under RCW 18.27.040.
20. Consumer Protection Compliance
Endeavor complies with the Washington Consumer Protection Act (RCW 19.86) and all related consumer laws.
21. Safety and Code Compliance
All work meets or exceeds code. Hidden violations or unsafe conditions may require extra cost to correct. Endeavor will not perform work that violates code.
22. Permits and Inspections
Endeavor obtains required permits and coordinates inspections unless otherwise agreed. Permit costs are the Customer’s responsibility unless stated otherwise. Inspection delays do not delay final payment.
23. Photographs and Documentation
Endeavor may photograph or record work areas for documentation, warranty records, or dispute resolution. Public use requires written consent and will exclude personal identifiers.
24. Digital Communications
By engaging Endeavor, Customer consents to receive phone, SMS, or email communications for service and scheduling. Opt‑out requests may be made at any time.
25. Health and Safety Disclosures
If hazardous materials (mold, asbestos, rodents, etc.) are found, work will pause until professionally remediated at Customer expense.
26. Parts Availability and Substitution
If OEM parts are unavailable, Endeavor may use equivalent or superior substitutes with Customer approval.
27. Financing Terms
If third‑party financing is used, the agreement is solely between Customer and lender. Endeavor is not liable for loan approval or denial.
28. Customer Acceptance of Completion
By signing the estimate, invoice, or service authorization, or by using the system, Customer acknowledges satisfactory completion. Any concerns must be reported within 48 hours.
29. Right to Refuse or Discontinue Service
Endeavor may refuse or discontinue service if the job site is unsafe, unsanitary, or hostile. Customer remains responsible for costs incurred to date.
30. Attorney’s Fees and Enforcement Costs
In any dispute or collection effort arising from this Agreement, the prevailing party shall recover reasonable attorney’s fees, court costs, and expenses. (See RCW 4.84.330.)
31. Ownership of Materials and Equipment
All materials and equipment furnished by Endeavor remain its property until paid in full. Endeavor retains a security interest under RCW 62A.9A and may remove or disable unpaid equipment as permitted by law.
32. Right to Stop Work for Nonpayment
Endeavor may suspend or terminate work for nonpayment without penalty. Suspension shall not extend warranty periods. Any delay or remobilization costs are Customer’s responsibility.
33. Warranty Service Scheduling
Warranty service is performed during normal business hours and subject to technician availability. After‑hours service may incur additional charges unless required by law.
34. Severability
If any provision is held invalid or unenforceable, the remaining provisions remain in full force and effect.
35. Entire Agreement; No Verbal Modifications
This document constitutes the entire agreement between Endeavor and Customer and supersedes all prior representations. No verbal statements modify these Terms. All changes must be in writing and signed by both parties.
36. Returned or Dishonored Payments
Returned or dishonored payments are subject to a $50 fee plus bank charges. Continued nonpayment may result in collections and termination of service.
37. Limitation on Consequential Damages
In no event shall Endeavor, its employees, or subcontractors be liable for any indirect, incidental, or consequential damages, including loss of comfort, use, income, or business interruption.
